Osborne Clarke Advises Miles 33 on Two Strategic Acquisitions

Osborne Clarke has advised leading publishing, legal and credit management markets software and services supplier, Miles 33, on its acquisitions of Datamatix and Net-Linx Publishing Solutions.

Miles 33 acquired Net-Linx Publishing Solutions, Inc at the end of March from Net-Linx AG of Dresden, Germany. Sacramento based Net-Linx is a long-established provider of editorial and advertising software to the global newspaper market. It has customers throughout Europe, Asia/Pacific, Middle East, the US and Brazil.

This deal was preceded by the acquisition of Datamatix Limited and its industry leading products Property Wizard and Motors Wizard. These products allow newspapers and other publishers to produce complex and composite newspaper and magazine adverts from digital content supplied automatically by estate agents and motor dealers. Incorporated in 1999 by Gideon Frazer, Datamatix originally provided a suite of internet and property upload technologies.

Mike Moore, Chief Executive Officer of Miles 33 commented:

"Having been extremely impressed with Osborne Clarke when acting on behalf of Miles 33 for our MBO in June 2007, it was a natural choice to work again with this experienced team.

"The two acquisitions, which both completed within one month of each other, were the first for me and the management team. We wanted a team that could handhold us through every step of the experience. Both acquisitions needed to be completed in a short timeframe and OC were able to deliver speed of response in a most professional manner. We now look forward to integrating these two companies and working with OC again in the future"

City-based corporate head Adrian Bott led the Osborne Clarke team advising Miles 33, assisted by corporate associate Victoria Walters and solicitor Patricia Paton. Partner Mark Webber provided commercial advice, solicitor Julie Secker advised on employment matters and solicitor Andrée Power advised on all tax matters.  Danny Preiskel of Preiskel & Co advised the shareholders of Datamatix.  Roy Butler of Stone King LLP advised Net-Linx A.G.

Founded in 1976, Miles 33 is a leading supplier of systems and services to publishing, legal and credit management markets with offices in the UK (Bracknell, Berkshire), the US (Sacramento, California and Norwalk, Connecticut) and Brazil (Belo Horizonte).
